Terms of Engagement

Welcome to Solidus Forge. These Terms of Engagement govern the relationship between Solidus Forge ("The Studio") and the Client ("The Partner"). By initiating a project with us, you agree to these protocols.

1. Nature of Relationship

Solidus Forge operates as an independent consultancy and venture studio. We are not employees of the Client. We retain the right to determine the method, details, and means of performing the services.

2. Intellectual Property (The "Handover")

Upon full payment of all fees associated with a project, Solidus Forge assigns 100% of the Intellectual Property (IP) rights for the custom code, designs, and assets created specifically for the Client. Solidus Forge retains the rights to its pre-existing internal tools, libraries, and frameworks used to build the project.

3. Payment & Milestones

Deposit: A non-refundable deposit (typically 50%) is required to secure a slot in our production schedule.
Milestones: Remaining payments are tied to specific deliverables defined in the Scope of Work.
Late Payments: Work will pause immediately if a milestone payment is not received within 5 business days.

4. Limitation of Liability

Solidus Forge builds technology to the best of industry standards. However, we do not guarantee market success, revenue, or user adoption. The Client assumes all business risks associated with the venture.

5. Confidentiality

We respect the "Stealth Mode" nature of our partners. We agree to keep all proprietary information, trade secrets, and business strategies confidential. We are happy to sign a mutual NDA prior to strategy sessions.

6. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding arising under these terms will be brought exclusively in the courts located in Gandhinagar, Gujarat.
